1. DEFINITIONS
1.1 In these Terms of Business the following definitions apply:
“The Company” – means Cosmopolit Ltd, Registered Address: 79 Riverhope Mansions, Harlinger Street, London SE18 5SS.
“Cleaner” – means the person or sub-contractor carrying out cleaning services on behalf of the Company.
“Client” – means the person, company or corporate body together with any subsidiary or associated company as defined by the Company Act 1985 to whom the cleaning services are supplied by the Company.
“Service” – means the cleaning services carried out on behalf of the Company.
“Cleaning Visit” – the visit to the Client’s address by the Cleaner in order to carry out the Service.
1.2 Unless the context requires otherwise, reference to the singular include the plural and references to the masculine include the feminine and vice versa.
1.3 The Headings contained in these Terms are for convenience only and do not affect their interpretation.

2. CONTRACT
2.1 These Terms and Conditions represent a contract between The Company and the Client.
2.2 The Client agrees that any use of the Company’s services, including placing in order for services by telephone, email, or contact website forms shall constitute the Client’s acceptance of these Terms and Conditions.
2.3 Unless otherwise agreed in writing by a director of the Company, these Terms and Conditions shall prevail over any other terms of business or purchase conditions put forward by the Client.
2.4 No variation or alteration of these Terms and Conditions shall be valid unless approved in writing by a director of the Company.

3. SERVICES
3.1 REGULAR DOMESTIC CLEANING
3.1.1 The Customer agrees to sign and return the Agreement and Standing order forms to The Company within 7 days of placing the order.
3.1.2 The Customer agrees to pay the monthly fee via Standing order, Bank Transfer, Online by Debit/Credit card, Cheque.
3.1.3 The Company reserves the right to suspend the cleaning services if monthly payments are missing or if paper work is not returned to The Company within 7 days of placing the order.
3.1.4 Minimum duration of 2 hours per cleaning visit applies for all domestic cleaning services.
3.1.5 The sales advisor can only give a rough estimate of the duration of the cleaning service. Please note that duration may vary therefore a degree of flexibility is required.
3.1.6 Customer agrees to provide a task list and all necessary cleaning detergents and equipment for the required work, unless other arrangements have been made with The Company. All cleaning equipment should be safe and in full working order.
3.1.7 If the Customer does not have cleaning detergents and asks The Company to purchase requested items on their behalf, customer understands that an applicable charge will be assessed.
3.1.8 If collection of keys is required from a location outside the postal code area of the cleaning scheduled, £10 charge will apply.
3.1.9 Recurring regular payment will be refunded only if customer does not require cleaning services for more than 4 weeks.
3.2.1 The Company will not be responsible for triggering any alarm systems. Customer should gives any special instructions for deactivation/activation of any household alarm systems.
3.2.2 Three months minimum contract length applies for our regular domestic cleaning service option 1.
3.2.3 No minimum contract will be required for The Company option 2 regular domestic cleaning service.
3.2.4 The Customer understands that the price quoted over the phone or email does not include anything apart from cleaning and ironing labour.
3.2.5 Cleaning materials (detergents, solutions, towels, cloths, gloves) and equipment (vacum cleaner, iron, ironing board mop, brush and broom etc.) must be provided by the Client. All equipment must be safe to operate, in full working order and must not require any special skills to be used for the purpose of cleaning.
3.2.6 If the Client has equipment that is complecated to operate, the Client must provide clear and detailed instructions to the cleaner.
3.2.7 If the Client does not have cleaning materials or value on utility and laundry cards, and the Client asks the Company/company operative to purchase said items on their behalf, the Client understands that a £5.00 service charge will apply and will be added to the cleaning materials bills.
3.2.8 If the Client requires use of our equipment and cleaning materials there will be one off charge of £30.00 and £2.00 will be added to the hourly rate.
3.2.9 A detailed list of cleaning specifications (cleaning task) must be provide by the Client to the cleaning operative prior to service commencing. If only verbal describtion of the task has been provided, the Company shall not be responsible for any tasks not carried out.

4.1 ONE – OFF CLEANING / SPRING CLEANING
4.1.1 The Company reserves the right to amend the initial quotation, should the client’s original requirements change.
4.1.2 Minimum duration of 4 hours per cleaning visit applies.
4.1.3 Customer agrees to provide a list of tasks and all cleaning detergents and equipment needed for the required work, unless other arrangements have been made with The Company.
4.1.4 All cleaning equipment should be safe and in full working order.
4.1.5 If the customer does not have cleaning detergents, The Company will supply all necessary cleaning detergents for additional charge per hour. This has to be requested at the time of the booking.
4.1.6 If collection of keys is required from a location outside the postal code area of the cleaning scheduled, £10 charge will apply.
4.1.7 The Customer understands that the price quoted is not a “package deal” and includes only cleaning labour.
4.1.8 The sales advisor can only give a rough estimate of the duration of the cleaning service, which is based on a basic description of the customer’s house. Please note that duration may vary therefore a degree of flexibility is required.
4.1.9 The Customer is advised that a one – off cleaning/ spring cleaning may take double the length of time required for a general cleaning. Post Construction / After Builders Cleaning / Post Party Cleaning or Badly neglected homes may take up to three times longer than a well maintained homes requiring general cleaning.

5.1 END OF TENANCY CLEANING
5.1.1 The Company reserves the right to amend the initial quotation, should the client’s original requirements change.
5.1.2 If collection of keys is required from a location outside the postal code area of the cleaning scheduled, £10 charge will apply.
5.1.3 The Customer understands that the price quoted is not a “package deal” and includes only cleaning labour.
5.1.4 Minimum duration of 4 hours per cleaning visit applies.
5.1.5 Customer agrees to provide a task list and all cleaning detergents and equipment (vacuum cleaner, mop, bucket and portable ladder), required to carry out the service, unless other arrangements have been made with The Company. All cleaning equipment provided by customer, should be safe and in full working order.
5.1.6 The sales advisor can only give a rough estimate of the duration of the cleaning service, which is based on a basic description of the customer’s house. Please note that duration may vary therefore a degree of flexibility is required.
5.1.7 If the customer does not have cleaning detergents, The Company will supply all necessary cleaning detergents for additional charge per hour. This has to be requested at the time of the booking.
5.1.8 The Customer is advised that a one – end of tenancy may take double the length of time required for a general cleaning. Post Construction / After Builders Cleaning / Post Party Cleaning or Badly neglected homes may take up to three times longer than a well maintained homes requiring general cleaning.

6.1 CARPET CLEANING & UPHOLSTERY CLEANING
6.1.1 The Company reserves the right to amend the initial quotation, should the client’s original requirements change.
6.1.2 If the customer has a dog, cat or other hairy pet then an extra 30% charge may be added to the service price due to the extensive amount of animal hair slowing down the cleaning process.
6.1.3 If water extraction is required due to flooding 30% charge may be added to the service price.
6.1.4 The Client understands that additional Parking and Congestion charge may apply.
6.1.5 All carpet / upholstery cleaning orders are subject to £50.00 minimum call out charge.
6.1.6 If collection of keys is required from a location outside the postal code area of the cleaning scheduled, £10 charge will apply.

7.1 MATTRESS CLEANING
7.1.1 The Company reserves the right to amend the initial quotation, should the client’s original requirements change.
7.1.2 All mattress cleaning orders are subject to £50.00 minimum call out charge.
7.1.3 If collection of keys is required from a location outside the postal code area of the cleaning scheduled, £10 charge will apply.
7.1.4 The Client understands that additional Parking and Congestion charge may apply.

8. PAYMENT
8.1 Payment is due prior to service commencement in the form of a bank transfer / standing order or major credit / debit card (UK only) payment online. We reserve the right to cancel services without notice due to declined credit card transactions or non-cleared funds.
8.2 Payment is requested on completion of the service.
8.3 Payment can be made by cheque on completion, please make the cheque payable to “Cosmopolit Ltd”. If paying by cheque, a cheque guarantee card is required and the customer will be responsible for all bank and legal charges resulting from a dishonoured cheque.
8.4 Payment can be made with debit or credit card via a secured internet web site (this need to be made in advance). If payment is made online by credit card 3.5% surcharge will apply.
8.5 The Client agrees to and authorises the Company to charge his debit/credit card with any outstanding amounts owed to The Company.
8.6 Any bank charges incurred due to a Client’s cheque being returned unpaid will be passed to the Client at a flat rate of £30.00 per cheque.
8.7 The period for payment fixed in the contract does not exceed 14 calendar days from issue date printed on the invoice. If payment is not made or invoice is overdue with 14 days or more then the account will be passed to our collection agency. We are exercising our statutory right to claim interested and compensation charges under late payment legislation which comes into force on 16 March 2013, implementing European Directive 2011/7/EU. You agree as part of this contract to pay this sum which represents our reasonable costs in collecting the unpaid amounts.
8.8 Customer understands that any ‘late payments’ may be subject to additional charges. Debt Collection Agency Fees, Legal Cost or Court Fee, Debt Recovery Costs and interest on late payments will be add to your outstanding bill if we have to take this course of action.

9. REFUNDS
9.1 No refund claims will be entertained ones the cleaning service has been carried out and there were not any genuine reasons reported in writing within 24h from the service date or issue date printed on the invoice.
9.2 Refund will be issued only if the client has been cancelled a cleaning visit within the allowed time (24 hours) prior to the start of the cleaning session and a payment has been already taken by the Company.
9.3 Refund will be issued if a cleaning operative does not attend a cleaning visit, payment for which has been already collected by the Company.

10. LIABILITY
10.1 The Company shall not be liable under any circumstances for any loss, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or any way connected with a late arrival of Company operatives at the service address. The Company endeavours to be right on time on any visit but sometimes due to the transport related and other problems which are beyond the Company’s control, the Company operative’s may arrive with a delay or the cleaning visit may be re-scheduled.
10.2 The Company shall not be liable under any circumstances for any loss, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or any way connected with : 1/ A cleaning job not complete due to the lack of suitable/enough cleaning materials, lack of hot water or electricity, or equipment not in full working order; 2/ Third party entering or present at the Client’s premises during the cleaning process; 3/ An existing damage in the Client property in the form of old stains / burns / spillages etc. which cannot be cleaned / removed completely by the cleaning operative using the Client’s cleaning equipment and materials and in accordance with the industry standard cleaning methods as described in the Company’s method statements; 4/ Any damages caused by faulty/not in full working order equipment or materials supplied by the Client; 5/ Any damages costs £50.00 or less.
10.3 The Company shall not be liable under any circumstances for any loss, damages, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or any way connected with the Company carrying out services for the Client if the Client has an outstanding amount due aged 14 days or more.
10.4 We record all incoming and outgoing phone conversations for quality control, record keeping and back-referral for any inquiries or investigations.

11. INSURANCE
11.1 The Company has a Public and Employers Liability Insurance. The policy will cover any accidental damages reported within 24 hours of service date.
11.2 The Company reserves the right to refuse to share any of the confidential company’s documents.

12. CANCELLATION
12.1 There is a £30.00 cancellation/lock out fee for cancelling or rescheduling a visit with less than 24 hours notice for non-contract Clients. The same fee applies if the cleaning operatives are unable to gain access to the Client’s home, through no fault of the Company.
12.2 The contracted Clients agrees to pay the full price of the cleaning visit if: 1) The Client cancels or changes the date/time less than 24 hour prior to the scheduled appointment; 2) The Client fails to provide access to the serviced premises this preventing the Company to carry out the booked work; 3) There is a problem with the Client’s keys and the cleaning operatives cannot let themselves in. If keys are provided they must open all lock without any special efforts or skills.
12.3 If the Client needs to change a cleaning day or time the Company will do its best to accommodate him. A minimum 24 hours notice is required. Please note that the Company can not guarantee that the same operatives will be available on the new day and at the time the Client’s requires. Any changes in the cleaning schedule are subject to availability.
12.4 The Company’s cleaning operatives work on any day including Bank Holidays. If the Client’s visit is due Bank Holiday and he has not called or e-mailed to the Company to cancel the visit 24 hours prior to the start of the cleaning session, the Client agrees to and understands that the regular amount due for that cleaning visit will be charged regardless of whether the cleaning operative has cleaned the Client’s property or not.
12.5 Regular Cleaning Cancellation - If the service is cancelled before the agreed minimum period written on the contract, The Client agrees to pay £200.00 (two hundred british pounds) as a compensation fee to The Company. After the agreed minimum period has expired The Client may cancel the whole service by giving at least 14 (fourteen) days advanced notice and specifying the last cleaning date.
12.6 By entering into a service agreement with The Company, the Client agrees that after the cancellation of the cleaning service he/she will not hire or use any domestic cleaner provided by a present or past cleaner introduced to the Client by The Company. If the Client does wish to hire or use domestic services provided by such a cleaner then he/she must pay a referral fee of £1000.00 (one thousand british pounds).

13. COMPLAINTS
13.1 All issues, complaints, dispute of invoices must be received in writing by letter or email within 24h from the service date or issue date printed on the invoice.
13.2 If the Client is unpleased with a currently occurring service, the Company asks that the Client notifies us as soon as he/she notices anything that might be to his/her dislike by calling 0203 291 1816. Please do not wait until the service is ending.
13.3 The Client accepts and understands that poor service, damage or theft must be reported within 24 hours from the service date. Failure to do so will entitle Client to no refunds or recovery cleanings as the Company will not consider any complaints which are notified after such period of 24 hours.

14. LAW
14.1 These Terms are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the Courts of England, and Wales.
